Welcome to The Artist HQ. These Terms of Service (“Terms”) govern your access to and use of the websites, client portal, and services operated by The Artist HQ, LLC (“The Artist HQ,” “ArtistHQ,” “we,” “our,” or “us”), including artisthq.co, portal.artisthq.co, and all related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services. If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

1. Definitions

“Client” refers to any individual or entity that has entered into a service agreement with The Artist HQ and has been granted access to the client portal.

“Content” refers to all text, images, photographs, videos, audio files, graphics, logos, brand assets, creative briefs, and other materials uploaded to, created through, or delivered via the Services.

“Client Content” refers to any Content that a Client provides, uploads, or submits to The Artist HQ through the Services or otherwise in connection with the services we provide.

“Deliverables” refers to the final creative works, media files, and other materials produced by The Artist HQ on behalf of the Client as part of an active service agreement.

“Portal” refers to the client-facing web application located at portal.artisthq.co, used for project management, file delivery, communication, and account management.

“User” or “you” refers to any individual who accesses or uses our Services, whether as a Client, a visitor to our website, or otherwise.

2. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Services on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on behalf of that organization.

3. Account Registration and Security

3.1 Account Creation

To access the client portal and certain features of our Services, you must create an account. You may register using Google Sign-In (OAuth 2.0) or other authentication methods we make available. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at info@artisthq.co if you become aware of any unauthorized access to or use of your account. The Artist HQ will not be liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Termination by User

You may request the deactivation of your account at any time by contacting us at info@artisthq.co. Account deactivation does not automatically terminate any active service agreement or relieve you of any outstanding payment obligations.

4. Services

4.1 Description of Services

The Artist HQ provides full-service media management for music artists in Nashville, TN and beyond. Our Services may include, but are not limited to:

  • Photo and video production

  • Social media management and strategy

  • Web development and digital presence

  • Branding, visual identity, and creative direction

  • Content creation, scheduling, and publishing

  • Client portal access for project tracking, file delivery, and communication

4.2 Service Agreements

The specific scope, deliverables, timelines, and pricing for each Client engagement are defined in a separate service agreement, proposal, or statement of work (“Service Agreement”). In the event of a conflict between these Terms and a Service Agreement, the Service Agreement shall govern with respect to the specific engagement.

4.3 Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify Clients of material changes that affect active service engagements.

5. Content and Intellectual Property

5.1 Client Content

You retain all ownership rights to Client Content that you provide to us. By uploading or submitting Client Content through the Services, you grant The Artist HQ a non-exclusive, royalty-free, limited license to use, reproduce, modify, and display that Client Content solely for the purpose of performing the Services and delivering Deliverables under your Service Agreement.

This license terminates upon the conclusion of your service engagement, except as necessary for The Artist HQ to fulfill any remaining obligations or as otherwise specified in your Service Agreement.

5.2 Portfolio and Promotional Use

Unless otherwise specified in writing in your Service Agreement, The Artist HQ may use Deliverables in its portfolio, website, social media, and promotional materials to showcase our work. If you prefer to restrict portfolio usage, you may request this in writing prior to the commencement of services or at any time during the engagement, and we will honor that request going forward.

5.3 Deliverables and Ownership

Upon full payment of all fees associated with a project or engagement, ownership of the final Deliverables transfers to the Client, unless otherwise specified in the Service Agreement. The Artist HQ retains ownership of all working files, templates, proprietary tools, processes, and methodologies used in the creation of Deliverables. The Artist HQ reservces the right to use content produced by Artist HQ as marketing material.

5.4 ArtistHQ Intellectual Property

All intellectual property rights in the Services, including but not limited to the Portal, website design, software, logos, trademarks, and proprietary processes, are and remain the exclusive property of The Artist HQ, LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited right to use the Services as described herein.

5.5 Feedback

If you provide suggestions, ideas, or feedback regarding the Services (“Feedback”), you grant The Artist HQ an unrestricted, irrevocable, perpetual, royalty-free license to use, modify, and incorporate that Feedback into our Services without any obligation to you.

6. Payments and Billing

6.1 Fees

Fees for our Services are set forth in your Service Agreement. All fees are quoted in U.S. dollars unless otherwise stated. We reserve the right to adjust pricing for future service periods with at least 30 days’ written notice.

6.2 Payment Processing

Payments are processed securely through Stripe, Inc. By providing payment information, you authorize us to charge the applicable fees to your selected payment method. You agree to maintain valid, up-to-date payment information on your account.

6.3 Late Payments

If payment is not received within 15 days of the due date, The Artist HQ reserves the right to suspend Services, restrict portal access, and withhold Deliverables until the outstanding balance is paid in full. A late fee of 1.5% per month (or the maximum rate permitted by law, whichever is lower) may be applied to overdue balances.

6.4 Refunds

Refund eligibility is determined on a case-by-case basis and governed by the terms of your Service Agreement. Generally, fees for completed work and delivered Deliverables are non-refundable. If you believe a refund is warranted, please contact us at info@artisthq.co to discuss your situation.

7. Third-Party Integrations and Services

7.1 Google API Services

Our Services integrate with Google APIs, including Google Sign-In (OAuth 2.0), Google Calendar API, and Google Analytics 4. Your use of these integrations is subject to Google’s Terms of Service and Privacy Policy. Our use of data received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

7.2 Meta (Facebook/Instagram) Integration

When you authorize The Artist HQ to manage your social media accounts through Meta’s APIs, you grant us permission to access and manage your connected accounts solely for the purpose of providing the Services described in your Service Agreement. You may revoke this authorization at any time through your Meta account settings. Revoking access may limit our ability to perform certain social media management services.

7.3 Stripe

Payment processing is provided by Stripe, Inc. and is subject to Stripe’s Terms of Service and Privacy Policy. The Artist HQ does not store your full credit card information on our servers.

7.4 Third-Party Availability

The Artist HQ is not responsible for the availability, accuracy, or performance of third-party services. Changes to third-party APIs, terms, or pricing may affect the functionality of our Services. We will make reasonable efforts to adapt to such changes, but we cannot guarantee uninterrupted access to third-party integrations.

8. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable federal, state, local, or international law or regulation.

  • Upload, transmit, or distribute any Content that is unlawful, defamatory, obscene, threatening, invasive of privacy, or otherwise objectionable.

  • Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services.

  • Use the Services to transmit any viruses, malware, or other harmful code.

  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein.

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Portal or any proprietary technology underlying the Services.

  • Use the Services to scrape, harvest, or collect information about other users without their consent.

  • Share your account credentials with any third party or allow multiple individuals to use a single account without our prior written consent.

  • Resell, sublicense, or redistribute access to the Services without our prior written consent.

We reserve the right to suspend or terminate your access to the Services if we determine, in our sole discretion, that you have violated these acceptable use provisions.

9. Confidentiality

Each party acknowledges that it may receive confidential information from the other party during the course of the service relationship. “Confidential Information” includes, but is not limited to, business strategies, unreleased creative works, financial information, client lists, proprietary processes, and any information marked as confidential.

Both parties agree to hold Confidential Information in strict confidence and to use it only for the purposes of fulfilling obligations under the Service Agreement. Confidential Information may not be disclosed to third parties without prior written consent, except as required by law.

This confidentiality obligation survives the termination of the service relationship for a period of two (2) years.

10. Warranties and Disclaimers

10.1 Our Warranty

The Artist HQ warrants that our Services will be performed in a professional and workmanlike manner consistent with industry standards. If you are dissatisfied with any Deliverable, you must notify us in writing within 14 days of delivery, and we will make commercially reasonable efforts to address your concerns through revisions as specified in your Service Agreement.

10.2 Disclaimer

EXCEPT AS EXPRESSLY SET FORTH IN SECTION 10.1, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE ARTIST HQ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from your use of the Services, including but not limited to follower growth, engagement metrics, streaming numbers, or revenue outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ARTIST HQ, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE ARTIST HQ DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless The Artist HQ, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Services in violation of these Terms.

  • Client Content that you provide that infringes upon the intellectual property rights of any third party.

  • Any breach of your representations or warranties under these Terms.

  • Your violation of any applicable law or regulation in connection with the Services.

13. Term and Termination

13.1 Term

These Terms are effective as of the date you first access or use the Services and remain in effect until terminated by either party.

13.2 Termination by The Artist HQ

We may suspend or terminate your access to the Services immediately, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent or illegal activity, or if continued access poses a risk to the security or integrity of our Services. We may also terminate your account if it remains inactive for more than 12 consecutive months.

13.3 Termination by Client

You may terminate your service engagement in accordance with the termination provisions of your Service Agreement. Termination of a service engagement does not automatically delete your portal account or data. To request account deletion, contact us at info@artisthq.co.

13.4 Effect of Termination

Upon termination, your right to access the Portal and use the Services will cease immediately. The Artist HQ will retain your data in accordance with the data retention periods described in our Privacy Policy. The following sections survive termination: Sections 5 (Content and Intellectual Property), 9 (Confidentiality), 10 (Warranties and Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Governing Law), and 15 (Dispute Resolution).

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Williamson County, Tennessee, and you consent to the personal jurisdiction of such courts.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith informal negotiation. The complaining party shall send written notice describing the dispute to the other party, and both parties shall have 30 days from receipt of notice to attempt resolution.

15.2 Mediation

If informal negotiation does not resolve the dispute within 30 days, either party may initiate mediation administered by a mutually agreed-upon mediator in Williamson County, Tennessee. The costs of mediation shall be shared equally between the parties.

15.3 Litigation

If mediation is unsuccessful or if either party declines mediation, either party may pursue remedies available at law or in equity in the courts specified in Section 14.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and The Artist HQ with respect to the subject matter hereof and supersede all prior or contemporaneous oral or written communications, proposals, and representations.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

16.3 Waiver

The failure of The Artist HQ to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of The Artist HQ.

16.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. The Artist HQ may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

16.5 Force Majeure

The Artist HQ shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power failures, internet outages, or third-party service disruptions.

16.6 Notices

All notices under these Terms shall be in writing and shall be deemed given when sent by email to the respective party’s email address on file. Notices to The Artist HQ should be sent to info@artisthq.co. Notices to you will be sent to the email address associated with your account.

16.7 Relationship of the Parties

The relationship between The Artist HQ and its Clients is that of independent contractor and client. Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between the parties.

17. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of these Terms and, where appropriate, notify you via email or through a notice on the Portal. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
